These Terms and Conditions apply to all services provided by the Contractor unless expressly agreed otherwise in writing. By placing an order, commissioning services, or approving a proposal, the Client confirms acceptance of these Terms. Agreements, confirmations, and approvals may be made in writing, including via email or electronic messaging.
All copyrights and intellectual property rights in all photographs, video recordings, footage, and related materials created by the Contractor remain exclusively with the Contractor, unless expressly agreed otherwise in writing. The Client is granted a limited, non-exclusive, non-transferable license to use the material solely for the agreed purpose, media, territory, and duration. Any usage rights become effective only after full payment of all agreed fees.
The Client may not edit, modify, retouch, or otherwise alter the delivered material without prior written consent of the Contractor, unless such modification is technically required for the agreed use. Any use that distorts the work, alters its intent, or may harm the Contractor's professional reputation is strictly prohibited.
Where commercially reasonable and customary, the Contractor shall be credited in connection with published material. Failure to provide credit does not invalidate the granted license.
All original files, including RAW files, unedited footage, project files, and source materials, remain the sole property of the Contractor unless explicitly agreed otherwise in writing. There is no automatic entitlement to RAW files or unedited material.
The Contractor may archive delivered material for up to six (6) months after delivery without obligation. No liability is assumed for loss of data after delivery unless caused by intent or gross negligence. The Client is responsible for securing their own backups after delivery.
Unless otherwise agreed in writing, the Contractor may use the produced material for portfolio purposes, including website, social media, showreels, presentations, and self-promotion. Any confidentiality, embargo, or non-disclosure requirements must be agreed prior to production.
The Client is solely responsible for obtaining all necessary permissions, releases, licenses, and approvals from models, performers, participants, property owners, brands, or other rights holders. The Client indemnifies and holds the Contractor harmless against all third-party claims, damages, or legal actions resulting from missing, invalid, or insufficient permissions.
The Contractor shall be liable only for damages caused by intent or gross negligence. Any liability is limited to the net invoice amount of the affected service. The Contractor shall not be liable for indirect, consequential, or economic damages, including loss of profit, loss of business, or reputational damage.
The Contractor retains full creative discretion regarding style, composition, camera work, lighting, editing, and overall execution. Minor deviations from previews, references, or previous work do not constitute a defect.
Unless agreed otherwise in writing:
Invoices are payable within ten (10) days without deduction. The Contractor reserves the right to suspend services or withhold usage rights until full payment is received.
Cancellations made up to fourteen (14) days before the scheduled assignment date are free of charge. Cancellations made within fourteen (14) days prior to the assignment date, as well as no-shows, are subject to 100% of the agreed fee, regardless of the reason for cancellation.
Personal data is processed solely for contract execution, project communication, and business purposes in accordance with applicable UAE data protection laws. The Client confirms that any personal data provided has been collected and shared lawfully.
These Terms and Conditions are governed exclusively by the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the UAE.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain valid and enforceable in full.
